These Terms of Use are intended to explain our obligations as a service provider and Your obligations as a user and subscriber. IT IS IMPORTANT THAT YOU READ ALL THE TERMS AND CONDITIONS CAREFULLY.
When you use Q3F Cloud, you are agreeing to be bound by these Terms of Use without any modification or qualification. These Terms are not intended to answer every question or address every issue raised by the use of the Q3F Cloud Services. Q3F Cloud reserves the right to change these terms at any time, effective upon the posting of modified. It is likely the terms of use will change over time. It is Your obligation to ensure that You have read, understood and agree to the most recent terms available on the Website.
IF YOU ARE DISSATISFIED WITH THE TERMS, CONDITIONS, RULES, POLICIES, GUIDELINES OR PRACTICES OF OPERATING OUR SERVICE, UNLESS EXPRESSLY SET OUT IN THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

c. “Site” means this website, all related webpages, and all related websites operated by affiliates or divisions of Q3F Cloud, but does not include any third party websites which are linked to or may link from this website whether or not such third party websites are used in connection with the Services.
d. “Service” and “Services” refer to the online financial services and other business–related services and Support offered through Q3F Cloud from time to time.
e. “Subscriber”, “Invited User” and “User” refers to any person who maintains an account with us and utilizes our Services.
f. “Support” means technical support and assistance provided to users by Q3F Cloud.
g. “You” and “user” shall refer to any person who visits the Site or uses Q3F Cloud and includes a Subscriber or Invited User.
h. "Confidential Information" includes all information exchanged between the parties to this Agreement, whether in writing, electronically or orally, including the Service but does not include information which is, or becomes, publicly available other than through unauthorised disclosure by the other party.
i. "Data" means any data inputted by You or with Your authority into the Website.
j. "Intellectual Property Right" means any patent, trademark, service mark, copyright, moral right, right in a design, logo or know-how and any other intellectual or industrial property rights, anywhere in the world whether or not registered.
k. "Invited User" means any person or entity, other than the Subscriber, that uses the Service with the authorisation of the Subscriber from time to time.
a. Q3F Cloud grants You the right to access and use the Service via the site with the particular user roles available to You. This right is a non-exclusive, non-transferable limited license to use Q3F Cloud and related resources in accordance with these Terms of Use.
b. The Subscriber is responsible for keeping your user name, password, account details, and all information required in connection with your use of Q3F Cloud. You represent and warrant that you have been authorized and directed by your business's principals to open the account and that you have shared all user names, passwords and access credentials with other authorized representatives in your business and that you have provided us with the business contact information of at least one other person.
c. The Subscriber is responsible to acknowledge and agree any agreement between the Subscriber and the Invited Users with applicable laws:
d. The Subscriber has obligation to determines the level of user role on Invited User with what access to the relevant organization and Service that Invited User has; and Subscriber is responsible for all Invited Users’ use of the Service and data access;
e. The Subscriber is responsible to controls each Invited User’s level of access to the relevant organization and can revoke or change level of access on Invited User’s, or, at any time and for any reason, to terminate Invited User to access the relevant organization.
f. If there is any dispute between a Subscriber and an Invited User regarding access to any organization or Service, the Subscriber shall decide what access or level of access to the relevant Data or Service that Invited User shall have, if any.
g. The Subscriber is responsible to grant data that allow Invited User to access by controlling the user roles, to protect the sensitive data not to leak out to public
In the event that a user is required to download or use software in connection with the Services, user shall be unable to download and access such software unless subscriber first agrees to the license agreement. Use of any such software is governed by these Terms of Use and any such license agreement.
Q3F Cloud does not provide professional accounting services. You use the Q3F Cloud at your own risk. Q3F Cloud does not purport to provide you with any financial or accounting advice and you agree to release and hold Q3F Cloud harmless arising from your use of a Q3F Cloud to provide you with technical support in relation to Q3F Cloud.
a. Each party will preserve the confidentiality of all Confidential Information of the other obtained in connection with these Terms. Neither party will or without the prior written consent of the other, disclose or make any Confidential Information available to any person, or use the same for its own benefit, other than as contemplated by these Terms strictly.
b. Subscriber own all of the business’s private data, content and all information related to subscriber own organization, which data from user enter and use in connection with the Services. We do not claim any rights, proprietary or otherwise over any data or information which you may use or disclose in connection with the Service on Q3F Cloud. Notwithstanding the above, we will agree to disclose the data without prior inform to subscriber under circumstances in which we may be required, such as:
If we are required to disclose your data or information, we will use our best efforts to provide you with reasonable notice in the circumstances and if appropriate the right to challenge any such request. Q3F Cloud Privacy Policy sets out in greater detail how we strive to protect your privacy and limit disclosure of your personal information.
c. You and your users are responsible for maintaining the confidentiality and security of usernames, passwords and other access credentials which allow the use of Q3F Cloud and access to the Services. You understand and agree that you are liable for unauthorized use of your account.
a. A. Logo, image and all Intellectual Property Rights on the Q3F Cloud site in the Services, the Website and any documentation relating to the Services remain the property of Q3F Cloud.
b. You grant Q3F Cloud a licence to use and back-up Your information and Data for the purposes of enabling You to access and use the Services and for any other purpose related to provision of services to You.
c. Owner or User must maintain copies of all Data inputted into the Service. Q3F Cloud adheres to its best practice policies and procedures to prevent data loss, including schedule data backup and store the backup file on cloud. It does not make any guarantees that there will be no loss of Data. Q3F Cloud expressly excludes liability for any loss of Data no matter how caused.
d. If you performing any transaction related to third party services via Q3F Cloud site in the services, you acknowledge that Q3F Cloud may allow to provide that information to those third party application. Data as required for the interoperation of such third-party applications with the Services. Q3F shall not be responsible for any disclosure, modification or deletion of Your Data resulting from any such access by third-party application providers.
Q3F Cloud gives no warranty about the provided Services. With or Without limiting the foregoing, Q3F Cloud does not warrant neither the Services will be suitable for any particular purpose nor your requirement. To avoid doubt, all implied conditions or warranties are excluded in so far as is permitted by law, including (without limitation) warranties of merchantability, fitness for purpose, title and non-infringement.

Q3F Cloud excludes all liability and responsibility to Owner (or any other person) in used in connection with the Services, or otherwise, for any loss (including loss of information, Data, profits and savings) or damage resulting, directly or indirectly, from any use of, or reliance on, the Service or Website.
b. If You suffer loss or damage as a result of Q3F Cloud negligence or failure to comply with these Terms, any claim by You against Q3F Cloud arising from Q3F Cloud negligence or failure will be limited in respect of any one incident, or series of connected incidents, to the Access Fees paid by You in the previous 12 months.
c. If You are not satisfied with the Service, your sole and exclusive remedy is to terminate services from Q3F Cloud.

You may not use, reproduce, advertise, display, publish, or transmit any of the Marks without Q3F Cloud prior written consent and/or absent a written agreement (written agreement hereinafter referred to as “Agreements and Programs”) between you and Q3F Cloud.
You must comply with this usage policy to refer to Q3F Cloud Marks. For branding requirements of Q3F Cloud Marks, taglines, colours, typography, and other materials, please refer to Q3F Cloud Brand Central. Usage of Q3F Cloud Marks may further be governed by Agreements and Programs between you and Q3F Cloud and/or prior written consent of Q3F Cloud.
You may use Q3F Cloud logo, subject to restrictions set forth in Agreements and Programs between you and Q3F Cloud and/or prior written consent of Q3F Cloud, to identify Q3F Cloud’s products, services, and programs on packaging, promotional, and advertising materials, provided you meet the following requirements:
1. You are not allowing to include any Q3F Cloud logo in your company name, product or service name, or domain name or any related.
2. You are not allowing to include any Q3F Cloud logo in any social media account name, assets, page(s) or community (collectively, “Social Media”), without written authorization from Q3F Cloud. List of Social Media includes, but is not limited to Twitter, Facebook, Instagram.
3. You are not allowing to include any Q3F Cloud logo or product icon design, whole or in part, in your company logo, your product logo, your app launch tile image, in your software product or service or in your Social Media without prior written consent from Q3F Cloud.
4. You should use an appropriate generic term after a Q3F Cloud trademark the first time it appears in a publication and as often as possible after that, such as product, software, cloud services, etc.
You may not use, reproduce, advertise, display, publish, or transmit any Q3F Cloud logo without Q3F Cloud prior written consent. Your use must comply with Agreements and Programs between you and Q3F Cloud, as well as requirements described here. Absent such agreement with Q3F Cloud, you do not have permission to use Q3F Cloud logos.
